1. Parties, Equipment, Term and Charges
This Rental Agreement (“Agreement”) is between Kelrock LLC dba Homepro Medical (“HPM”), 153 21st Street, Brooklyn, NY 11232, (800) 437-3677, and the undersigned Customer. It applies to all equipment listed on the attached invoice/delivery ticket (“Equipment”), which is incorporated into this Agreement.
The rental term begins on the delivery date. The Equipment remains HPM’s property at all times. Cost, billing, renewal, and cancellation are governed by Sections 2 and 4.
2. Cost, Billing Frequency, Automatic Renewal; Card on File
Cost. The rental rate for each item is stated on the invoice/delivery ticket, plus any one-time delivery, setup, and pickup fees shown there. Rates will not change during the rental without 30 days’ advance written notice.
Billing frequency. The first cycle is charged at delivery. Each billing cycle is one month unless the invoice states a different period. Rent is charged in advance, on the same day of each cycle, to the card on file.
Automatic renewal. This rental RENEWS AUTOMATICALLY at the end of each billing cycle, at the same rate, until Customer cancels as described in Section 4. By signing, Customer affirmatively consents to automatic renewal and recurring charges.
Card on file. Customer authorizes HPM to securely store the card provided and to charge it for (a) recurring rent each cycle; (b) the one-time fees above; and (c) charges identified on final inspection under Section 4 — damage beyond normal wear, late fees, and the replacement value of lost or unreturned Equipment. No security deposit or pre-authorization hold is taken. Receipts for recurring rent charges are provided on request; the signed invoice states the recurring amount and schedule. HPM does provide a receipt for any one-time, damage, or replacement charge, and any damage or replacement charge includes an itemized statement, with photos where practical. Customer agrees to keep a valid card on file for the full rental term and to update it if it changes.
Balances more than 10 days past due may incur a late fee of $15 or 5% of the overdue amount, whichever is greater, per cycle.
3. Delivery, Use and Care
HPM delivers, assembles, and demonstrates the Equipment; Customer (or their representative) will confirm receipt in good working condition by signing the delivery ticket. Customer agrees to: use the Equipment only for its intended purpose, following the instructions provided; not move it from the delivery address, modify it, or permit repairs by anyone other than HPM; keep it clean, indoors, and protected; and notify HPM promptly of any malfunction, damage, or safety concern. HPM will repair or swap malfunctioning Equipment at no charge unless the damage results from misuse, neglect, accident, or alteration, in which case repair or replacement is charged per Section 2. Customer is responsible for providing a safe, accessible space for delivery and pickup.
4. Cancellation, Return and Final Inspection
How to cancel. Customer may request a pickup at any time, with no cancellation fee, by any of the following: calling (800) 437-3677, emailing HPM at the address on the invoice, or notifying HPM in person or in writing. HPM will confirm the cancellation and schedule pickup within business days or, if mutually confirmed in writing, a date later than 7 business days.
When billing stops. Rent stops accruing on the date the Equipment is returned to HPM or made available for the scheduled pickup, whichever is earlier. No renewal is charged after that date. Cycles already begun are not refunded unless the invoice states otherwise.
Final inspection. Within 5 business days of return, HPM inspects the Equipment. Damage beyond normal wear, missing parts or accessories, excessive soiling, or unreturned items are charged to the card on file under Section 2, at repair cost or fair replacement value (per the invoice or HPM’s then-current price list). Normal wear and tear and standard sanitization are included at no charge.
5. Liability, Warranty and Miscellaneous
Equipment is provided for general home use and is not a substitute for medical care; Customer confirms any clinical suitability with their own healthcare provider. HPM warrants that Equipment is sanitized and in good working order at delivery; except as stated, Equipment is provided “as is” and HPM disclaims all other warranties to the extent permitted by law. To the fullest extent permitted by law, HPM’s liability under this Agreement is limited to the rental charges paid for the Equipment at issue; HPM is not liable for indirect or consequential damages. Nothing in this Agreement limits liability that cannot be limited under New York law, including for HPM’s own negligence where such limitation is prohibited. Customer may not assign this Agreement or sublet the Equipment. This Agreement, with the invoice/delivery ticket, is the entire agreement, is governed by New York law, and may be signed electronically. If any provision is unenforceable, the remainder stays in effect.
6. Acceptance
By initiating the first payment, Customer acknowledges reading this Agreement, agrees to its terms, and authorizes the card-on-file charges described in Section 2.
